1. Introduction & Acceptance

Infoleum, developed by Jidoka Integratech Services, is a SaaS platform built around the Google ecosystem. By purchasing and using this service with a registered Google account, you agree to these Terms of Service. The same Gmail account used for purchase must also be used for registration. By registering, you agree to grant Infoleum the requested Google OAuth scopes as described in Section 9. Use of the service constitutes acceptance of these terms. You must be at least 18 years old, legally capable, and of sound mind to enter into this agreement.

2. Eligibility

The purchaser must be an individual or entity with legal capacity. The purchaser must use a valid Gmail account. The same Gmail account must be used for both purchase and registration. Purchasers agree not to share login credentials or use different Gmail accounts across processes.

3. Account Registration & Responsibilities

Clients are responsible for maintaining the confidentiality of their Google login credentials.
The client controls who receives and fills in their Google Forms, and therefore is the data controller. Infoleum is the data processor and will only process data as configured by the client. Clients are fully responsible for the content and accuracy of data collected using Infoleum.

4. Services Provided

Infoleum creates Google Forms, Sheets, folders and Scripts inside a designated folder in the client’s Google Drive. Clients have full editing rights but should only modify items as described in the User Manual. Any unauthorized modifications risk breaking the automation.
If resources are broken, the client must re-purchase a subscription and go through onboarding again. There are no rollbacks (“no backsies”). Services are delivered “as-is,” with no guaranteed uptime unless separately covered by an SLA.

5. Subscriptions, Fees & Payments

Payments are typically handled via Stripe. Billing is monthly. There is no refunds policy. Clients may cancel at any time, but fees paid are non-refundable. If payment is late, Stripe retries for 8 days. After 8 days, the client’s account is terminated. On termination, all Infoleum resources in the client’s shared Google Drive folder are still the client’s ownership. But automations and access to Infoleum services will be suspended. Re-onboarding and new setup is required for service restoration.

6. Fair Usage Policy (FUP)

Infoleum offers “unlimited” usage subject to fair usage and client’s Google qouta.
Excessive usage includes: disproportionate load on the system compared to average customers, usage inconsistent with ordinary SME operations, and automated/bulk misuse of forms or storage. Jidoka Integratech Services reserves the right to throttle, suspend, or terminate service for excessive or abusive use.

7. User Obligations & Acceptable Use

Clients may not: share credentials with unauthorized parties, use different Gmail accounts across purchase and registration, reverse engineer, tamper with, or circumvent the software, or use Infoleum for illegal purposes (e.g., fraud, data scraping).

8. Intellectual Property

Jidoka Integratech Services retains all rights to Infoleum software, brand, and derivative works. Clients retain ownership of the raw data stored in their Google Drive. Derivative works created from anonymized and stripped data are the property of Jidoka Integratech Services.

9. Data & Privacy

Client role: Data Controller (decides what data to collect, who enters data). Infoleum role: Data Processor (processes and automates as instructed). All raw form responses are stored in the client’s Google Drive. Data may pass through Infoleum infrastructure, which may be located outside Malaysia. Identifiable data is periodically purged. Anonymized/stripped data may be stored indefinitely for service improvement. Metadata stored on SaaS servers is automatically purged after 6 months. Requested OAuth Scopes: drive.file, userinfo.email, forms.body, spreadsheets, script.projects. A primary service account (xxxxxxx-compute@developer.gserviceaccount.com) is set as editor/viewer of created resources, allowing Infoleum to read/write on the created resources. At any time, clients may revoke sharing permissions via Google. Access ceases immediately.

10. Third-Party Services

Infoleum relies on Google Workspace APIs and Stripe. Jidoka Integratech Services is not responsible for outages or failures of third-party providers.

11. Service Availability & SLA

Service is provided “as-is” with no guaranteed uptime. Planned maintenance may cause temporary outages. Clients may request a custom SLA for enterprise subscriptions.

12. Termination & Suspension

Clients may cancel subscriptions anytime via Stripe. Termination occurs after 8 days of failed Stripe payment retries. On termination: All Infoleum services stop immediately, raw data remains in the client’s Google Drive, metadata and automation features become inaccessible, and resources in shared folders cannot be re-activated and require fresh onboarding.

13. Disclaimers & Limitation of Liability

Infoleum is provided “as is.” Jidoka Integratech Services is not responsible for: loss of data, loss of profits or business interruption, or indirect, incidental, or consequential damages. Maximum liability is capped at one (1) month of subscription fees paid.

14. Indemnification

Clients agree to indemnify Jidoka Integratech Services against claims, liabilities, damages, or expenses arising from misuse of Infoleum, violation of these ToS, or collection or misuse of personal data by the client.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Malaysia. Disputes will be settled in the courts of Kuala Lumpur, Malaysia.

16. Changes to Terms

Jidoka Integratech Services may update these Terms periodically. Changes will be notified via email or in-app notice. Continued use after notice constitutes acceptance.
